Terms of Service

Sapari is a cloud-based video editing platform operated by Sapari @ Benav Labs LLC, a Delaware limited liability company. By creating an account or using the service, you agree to these terms. If you don't agree, don't use the service.
IMPORTANT: These terms contain a binding arbitration clause and class action waiver in the "Dispute Resolution" section below. Please read it carefully. It affects how disputes between you and Sapari are resolved. You may opt out within 30 days of creating your account.
The Service
Sapari provides AI-powered video editing tools. You upload videos. Sapari analyzes them and generates edit suggestions, captions, and asset placements. You review the results in a browser-based editor and control every edit before exporting.
The service includes video processing, AI analysis, a timeline editor, asset management, caption editing, and video export. Features available to you depend on your subscription plan.
The service uses artificial intelligence and machine learning systems โ including third-party AI services โ to analyze your content and generate edit suggestions. All AI-generated suggestions are presented for your review in the editor. You decide which edits to keep, modify, or discard before exporting. No AI-generated output is published without your approval.
Your Account
- You must be at least 16 years old to create an account.
- You're responsible for keeping your login credentials secure. If someone accesses your account, that's on you unless we caused the breach.
- One person, one account. Don't share accounts or create multiple accounts to circumvent limits.
- Provide accurate information. If your email bounces, we can't send password resets or export notifications.
Your Content
Your videos are yours. You retain all rights to content you upload, and to the edits, captions, and exports Sapari generates from it. We don't claim ownership of your content. We don't use it to train AI models. We don't license it to anyone.
You grant Sapari a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your content solely to provide the service. This includes storing your video on our infrastructure, sending portions of your content to third-party AI services for analysis, and rendering your export. That's it. When you delete your content or your account, this license ends.
You're responsible for the content you upload. Don't upload videos you don't have rights to. Don't use Sapari to process content that's illegal, infringing, or harmful. You represent and warrant that you own or have all necessary rights, licenses, and permissions to upload and process your content through the service.
YouTube Imports
Sapari allows you to import videos from YouTube for editing. By using this feature, you represent and warrant that:
- You own the video or have explicit, documented permission from the rights holder to download and edit it.
- Your use complies with YouTube's Terms of Service and any applicable copyright laws.
- You will not use this feature to download, re-edit, or redistribute content you do not have rights to.
Sapari makes no representation about the legality of importing any specific video. You assume all legal responsibility for your use of this feature. Misuse may result in account termination and will be subject to the indemnification obligations below.
Sapari's Intellectual Property
Sapari and its licensors retain all right, title, and interest in the service, including the platform, algorithms, user interface, design, code, documentation, branding, and all related intellectual property rights. Nothing in these terms transfers any ownership of Sapari's intellectual property to you.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose, subject to these terms and your subscription plan. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of the service or any part of it.
Subscriptions & Billing
Sapari offers paid subscription plans (Hobby, Creator, Viral) with monthly and annual billing options. Prices are listed on our pricing page and may change with 30 days' notice.
- Free trial: New users get a 7-day free trial with Creator-level features. No credit card required to start. If you don't subscribe before the trial ends, your account reverts to limited access.
- Auto-renewal: Your subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current price, unless you cancel before the renewal date. You can cancel auto-renewal at any time from your account settings.
- Billing: Monthly plans are billed on the same date each month. Annual plans are billed once per year. All payments are processed through Stripe.
- Credits: Each plan includes a monthly allocation of AI processing credits. Unused credits don't roll over. Credits are consumed when you run AI analysis on your videos, proportional to video length and features used.
- Cancellation: You can cancel anytime from your account settings. You keep access until the end of your current billing period. We don't provide partial refunds for unused time, except where required by applicable law (see "Refunds" below).
- Refunds: If you are located in the European Union or European Economic Area, you may have a right to withdraw from your subscription within 14 days of purchase under the Consumer Rights Directive, provided you have not yet used the service to process videos. Where applicable law grants you refund rights that override this policy, those statutory rights apply.
- Failed payments: If a payment fails, we'll retry and notify you. If payment isn't resolved, your account may be downgraded.
Service Limits
Each plan has limits on AI processing credits, storage, active projects, export resolution, and queue priority. These are listed on the pricing page. Exceeding storage limits will prevent new uploads until you free space or upgrade.
Processing times depend on video length, features used, and queue priority. We don't guarantee specific processing times, but paid plans get priority over free/trial users.
Acceptable Use
Don't use Sapari to:
- Process content you don't have rights to edit or distribute.
- Generate, store, or distribute illegal content (including CSAM, which will be reported to authorities).
- Create misleading manipulated media (deepfakes) โ content that falsely depicts a real person saying or doing something they did not.
- Attempt to reverse-engineer the AI models or processing pipelines.
- Abuse the API or attempt to bypass rate limits, credit metering, or storage quotas.
- Create multiple accounts to exploit free trials or circumvent plan limits.
- Use automated tools to scrape or bulk-download content from the platform.
- Interfere with other users' access to the service.
- Use the service in violation of any applicable law or regulation.
Violating these terms may result in account suspension or termination. For serious violations (illegal content, security attacks), we may act immediately without notice.
Copyright & DMCA
Sapari respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and respond to valid notices of alleged copyright infringement.
Repeat Infringer Policy
In accordance with the DMCA, Sapari will terminate the accounts of users who are determined to be repeat infringers. A repeat infringer is a user who has been the subject of more than two valid DMCA takedown notices. We may also terminate accounts after a single notice in cases of egregious infringement.
Filing a Takedown Notice
If you believe content hosted on Sapari infringes your copyright, send a written notice to our designated DMCA agent with:
- A physical or electronic signature of the copyright owner or authorized agent.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing, with information reasonably sufficient for us to locate it (e.g., project URL, file name).
- Your contact information (name, address, telephone number, email).
- A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.
Counter-Notification
If you believe your content was removed in error, you may send a counter-notification to our DMCA agent including:
- Your physical or electronic signature.
- Identification of the material that was removed and the location where it appeared before removal.
- A statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification.
- Your name, address, telephone number, and a statement consenting to jurisdiction of the federal court in your district (or in the District of Delaware if outside the U.S.), and that you will accept service of process from the person who filed the original notice.
Upon receiving a valid counter-notification, we may restore the removed content within 10-14 business days unless the copyright owner files a court action.

Availability & Changes
- We aim for high availability but don't guarantee 100% uptime. Video processing depends on infrastructure and third-party services that are outside our control.
- We may update features, change pricing (with 30 days' notice), or discontinue parts of the service. If we discontinue the entire service, we'll give you at least 30 days to download your content.
- We may update these terms. Material changes will be communicated by email or in-app notification at least 30 days before they take effect. Your continued use of the service after the effective date means you accept the updated terms. If you disagree with material changes, you may terminate your account before the effective date.
API Access
Sapari provides API access for programmatic use. API keys are issued per user with configurable permissions and rate limits. You're responsible for securing your API keys. Don't embed them in client-side code or share them publicly. Compromised keys should be revoked immediately from your account settings.
Indemnification
You agree to defend, indemnify, and hold harmless Sapari Systems LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the service, (b) content you upload, import, or process through the service, (c) your violation of these terms, (d) your violation of any third-party rights, including intellectual property or privacy rights, or (e) your use of the YouTube import feature for content you are not authorized to use. This indemnification obligation survives termination of your account.
Termination
- By you: Delete your account anytime from settings. We anonymize your personal data and schedule your files for deletion. Your email is retained for legal compliance as described in our Privacy Policy.
- By us: We can suspend or terminate accounts that violate these terms. For non-urgent violations, we'll warn you first. For urgent violations (illegal content, security threats, repeated copyright infringement), we may act immediately.
- After termination: Your access ends immediately. Data is retained for 7 days in case of accidental deletion, then purged. Active subscriptions are cancelled with no refund for the remaining period, except where applicable law requires otherwise.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SAPARI @ BENAV LABS LLC EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SAPARI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI-GENERATED EDIT SUGGESTIONS, CAPTIONS, OR OTHER OUTPUTS WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK AND ARE RESPONSIBLE FOR REVIEWING ALL AI-GENERATED SUGGESTIONS BEFORE EXPORTING.
Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, the above exclusions apply only to the extent permitted by applicable law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPARI SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE, EVEN IF SAPARI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SAPARI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO SAPARI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.
Dispute Resolution
Informal Resolution First
Before filing any formal proceeding, you agree to try to resolve the dispute informally by contacting us at hello@sapari.io. We'll try to resolve it within 60 days. If we can't, either party may proceed as described below.
Binding Arbitration
If informal resolution fails, you and Sapari agree to resolve any disputes through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
For claims under $10,000, arbitration will be conducted entirely online or by phone, at your election. For claims of $10,000 or more, hearings may take place in the county where you reside, or in New Castle County, Delaware, at your election. Sapari will pay all AAA filing, administrative, and arbitrator fees for claims under $10,000. For claims above that amount, costs will be shared as determined by the AAA Consumer Arbitration Rules.
Class Action Waiver
YOU AND SAPARI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration section shall be null and void.
Exceptions
Either party may bring claims in small claims court if eligible. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for intellectual property violations, security breaches, or violations of the Acceptable Use section.
30-Day Opt-Out
You may opt out of this arbitration agreement by sending written notice to hello@sapari.io within 30 days of creating your account, with the subject line "Arbitration Opt-Out." Include your name, email address, and a clear statement that you wish to opt out. If you opt out, you and Sapari agree to resolve disputes in the state or federal courts located in New Castle County, Delaware.
Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. The Federal Arbitration Act governs all provisions relating to arbitration.
Export Controls & Sanctions
You agree to comply with all applicable export control and trade sanctions laws, including those administered by the U.S. Department of Commerce and the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You may not use the service if you are located in, or a resident of, a country subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or if you are on any U.S. government restricted party list.
General
- Entire agreement: These terms, together with our Privacy Policy and any plan-specific terms on the pricing page, constitute the entire agreement between you and Sapari and supersede all prior agreements, understandings, or representations regarding the service.
- Severability: If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these terms is not a waiver of our right to enforce it later.
- Assignment: You may not assign or transfer your account or any rights under these terms without our prior written consent. Sapari may assign these terms or any rights hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
- Force majeure: Sapari is not liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including natural disasters, pandemics, government actions, war, terrorism, cyberattacks, power outages, internet disruptions, or failures of third-party services.
- Notices: We may send you notices via email to the address on your account, through in-app notifications, or by posting on the service. You may send notices to us at hello@sapari.io.
- Survival: Sections that by their nature should survive termination will survive, including: Your Content (license grant), Sapari's Intellectual Property, Copyright & DMCA, Indemnification, Disclaimer of Warranties, Limitation of Liability, Dispute Resolution, and General.
